  1. Basic Attitude

    In its Charter of Corporate Behavior (https://www.ctie.co.jp/english/sustainability/management/), our company states that it is committed to developing talented human resources to provide high-quality services to society, disclose appropriate information, and build relationships of trust through sincere dialogue with stakeholders.
    Under this Charter of Corporate Behavior, our company takes as its basic stance the timely, fair, accurate and continuous dissemination of corporate information in order to further enhance the trust and sympathy of its stakeholders, including shareholders, employees, customers, business partners and local communities.
    In addition, our company will appropriately disclose financial and other information related to the management of our group in accordance with laws and regulations in accordance with the information disclosure standards described below, and will take the initiative in providing non-financial information other than those required by laws and regulations.
    In addition, in order to contribute to our group's sustainable growth and the enhancement of corporate value over the medium- to long-term, we engage in constructive dialogue with shareholders and securities analysts outside of the General Meeting of Shareholders, and report the opinions and concerns received to the Management Committee and the Board of Directors, so that they are reflected appropriately and effectively in the direction of the company's management.
  2. Disclosure Standards

    Our company discloses information in accordance with various laws and regulations, including the Companies Act and the Financial Instruments and Exchange Act (Hereafter referred to as the "Laws and Regulations".), as well as the Rules for Timely Disclosure of Corporate Information by Issuers of Listed Securities stipulated by the Tokyo Stock Exchange (The Timely Disclosure Rules are hereinafter referred to as the Timely Disclosure Rules.).
    Our company will provide timely, fair, accurate, clear and extensive information, even if such information does not constitute material facts as stipulated by laws and regulations or the Timely Disclosure Rules ("Discretionary Disclosure Information" is hereinafter referred to as "Discretionary Disclosure Information".), if deemed useful to shareholders and investors in making investment decisions or enhancing their understanding of our company and our group.
  3. Method of Information Disclosure

    Information that falls under any of the laws and regulations will be disclosed in a timely and appropriate manner in the manner prescribed by the applicable laws and regulations.
    Depending on the level of importance and urgency, voluntary disclosure information will be disclosed in press releases and on our company website.
    In addition, in view of the proportion of overseas investors in our company's shareholder structure and the status of overseas stakeholders in our group's overseas business development, we will strive to provide information in English as well as Japanese.

  4. Fair Disclosure

    In order to ensure fair disclosure of information, our company appropriately manages material information in accordance with the Fair Disclosure Rules (Article 27-36 of the Financial Instruments and Exchange Act), and promptly releases such material information to certain investors, etc., if any of our company's officers or employees, including senior management, who are in charge of communicating with stakeholders, communicate such material information through their operations.
  5. Insider Information Management

    In order to appropriately manage insider information, our company has established the Insider Trading Management Rules and has made them known to all executives and employees.
  6. Dealing with Market Rumors

    Our company's basic policy is not to comment on rumors or word of mouth appearing on the markets or stock-related websites. However, if the rumor or word of mouth has a significant impact on the corporate value of our company, or if we are requested by the stock exchange or any other organization to provide an explanation or other response, we will respond appropriately as needed in consultation with the relevant department head.
  7. Silent Period

    In order to prevent leaks of financial information and to ensure fairness to our stakeholders, our company designates the period from the day after the closing date of each quarter to the announcement of financial results as a silent period during which we will refrain from answering questions or commenting on financial results or earnings forecasts.
    However, even during the quiet period, we will respond promptly to inquiries regarding information that has already been disclosed, and if it is expected that we will significantly revise our earnings forecasts, or if there is any information that is required to be disclosed under other laws and regulations, the Timely Disclosure Rules, etc., we will disclose it in a manner required by other laws and regulations, the Timely Disclosure Rules, etc., or in an appropriate manner such as a press release.
